FlowBu Terms of Use

These Terms of Use govern your use of the FlowBu website, desktop application, downloads, license keys, and related services (collectively, “FlowBu”).

FlowBu is operated by FlowBu LLC (“FlowBu,” “we,” “us,” or “our”). By purchasing, downloading, installing, accessing, or using FlowBu, you agree to these Terms.

If you do not agree, do not purchase, download, install, access, or use FlowBu.

1. FlowBu License

Subject to your compliance with these Terms and payment of the applicable one-time purchase price, FlowBu grants you a limited, non-exclusive, non-transferable, revocable license to install and use FlowBu for your personal or internal business use.

Unless expressly stated otherwise at purchase, your license is perpetual for the version or edition purchased and does not require a subscription.

Your purchase does not transfer ownership of FlowBu, its source code, trademarks, branding, documentation, or other intellectual property.

2. Activation and License Verification

FlowBu requires a valid license for activation.

FlowBu is local-first desktop software. Your FlowBu work data is stored locally on your device. FlowBu does not require a user account, continuous internet connection, routine cloud storage, or daily login to operate.

To help prevent fraud, refunded-license use, chargeback abuse, and unauthorized sharing, FlowBu may periodically check a license’s status when the application is open and internet access is available.

These checks use an opaque license identifier. They do not transmit your FlowBu content, briefs, calendars, archives, reports, notes, local database, feature activity, or machine fingerprint.

If a license has been refunded, revoked, or otherwise determined to be invalid, FlowBu may restrict access and return the application to its activation screen.

3. License Keys

You are responsible for keeping your license key private and secure.

You may not publish, sell, rent, sublicense, share, distribute, transfer, or make your license key available to another person.

We may suspend, revoke, replace, or refuse to honor a license where we reasonably believe it was obtained or used through fraud, chargeback abuse, unauthorized sharing, payment disputes, or other misuse.

4. Local Data and Backups

FlowBu is designed to store your work locally on your device.

You are responsible for maintaining backups of your FlowBu data. FlowBu does not automatically receive, host, review, or recover your local data unless you separately choose to send information to us.

If a license is refunded or revoked, FlowBu may restrict access to the application. FlowBu does not automatically delete your local briefs, calendars, archives, reports, notes, or other app data as part of that restriction.

5. Acceptable Use and Restrictions

You may not:

  • Copy, sell, rent, lease, sublicense, distribute, or transfer FlowBu except where expressly permitted by law.
  • Reverse engineer, decompile, disassemble, modify, or create derivative works from FlowBu except to the limited extent applicable law prohibits those restrictions.
  • Remove or alter copyright, trademark, license, or proprietary notices.
  • Attempt to bypass, disable, interfere with, or defeat FlowBu’s activation, license validation, or security features.
  • Use FlowBu in violation of applicable law, third-party rights, or platform policies.
  • Use FlowBu to create, store, distribute, or facilitate unlawful, infringing, malicious, or harmful material.

6. Updates and Availability

We may provide updates, bug fixes, improvements, or new versions of FlowBu from time to time.

Unless expressly stated otherwise, a purchase does not guarantee future major versions, new features, compatibility with every device or operating system, or indefinite technical support.

We may modify, suspend, or discontinue website features, download availability, support channels, or portions of the product where reasonably necessary.

7. Third-Party Services

FlowBu may rely on or link to third-party services, including payment processors, email providers, hosting providers, advertising platforms, operating systems, and social media platforms.

Those services are governed by their own terms and privacy practices. FlowBu is not responsible for the availability, policies, security, content, or actions of third-party services.

8. Refunds

Refunds are governed by the FlowBu Refund Policy, which is incorporated into these Terms.

9. Disclaimer of Warranties

FlowBu is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, FlowBu disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, uninterrupted operation, and compatibility with every device or software environment.

We do not guarantee that FlowBu will meet every requirement, operate without interruption, or be free of errors, defects, or security vulnerabilities.

10. Limitation of Liability

To the fullest extent permitted by law, FlowBu and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost business opportunities, business interruption, or reputational harm.

To the fullest extent permitted by law, FlowBu’s total liability arising from or relating to FlowBu will not exceed the amount you paid for the applicable FlowBu license.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some portions of this section may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless FlowBu and its owners, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from your use of FlowBu, your content, your violation of these Terms, or your violation of law or third-party rights.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising from these Terms or FlowBu will be brought in the state or federal courts located in Tarrant County, Texas, unless applicable law requires otherwise.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the FlowBu website with a revised “Last Updated” date.

Your continued use of FlowBu after updated Terms become effective means you accept the revised Terms.
